Terms of Service
1. Acceptance
These Terms of Service (the “Terms”) form a legal agreement between you (“you,” “your,” or “Customer”) and GhostLabs, operated by GhostLabs Pte. Ltd., a company incorporated in the Republic of Singapore, with its registered address at 53 Chulia Street, #07-01, Singapore 049711 (“GhostLabs,” “we,” “us,” or “our”). By accessing or using the GhostLabs website at ghostlabs.asia, any GhostLabs subdomain, the GhostLabs API, the GhostLabs Telegram bot, any GhostLabs browser extension or wallet plugin, or any other service operated by GhostLabs (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Service
GhostLabs provides automated analysis of smart contract source code and bytecode across supported blockchain networks (currently including but not limited to Ethereum, Base, BNB Chain, Polygon, Arbitrum, Optimism, Avalanche, Fantom, Linea, Scroll, Cronos, Polygon zkEVM, Mantle, Blast, and Mode, with additional chains added over time). The Service uses a combination of static analysis tools, symbolic execution, and artificial-intelligence-assisted review to produce a report that identifies potential code-level risks and generates a summary score.
The Service is a code-analysis tool. It is not, and must not be interpreted as, financial advice, investment advice, legal advice, tax advice, or a recommendation to buy, sell, hold, or transact in any digital asset. Scores and findings describe characteristics of code at the time of analysis and do not predict future outcomes. See Section 8 for full disclaimers.
3. Accounts and communications
Some features require you to provide an email address or connect a wallet. You are responsible for the accuracy of the information you provide and for keeping your credentials secure. Notify us promptly at admin@ghostlabs.asia if you believe your account or any credential associated with your account has been compromised.
We will communicate with you by email at the address you provide. Transactional communications (scan delivery, receipts, subscription notices, security alerts) are a necessary part of the Service and cannot be opted out of while your account remains active. Marketing communications are opt-in and can be unsubscribed from at any time via the link in the email.
4. Payments
4.1 One-time audits
Audits are priced at US$98 per scan unless otherwise stated on the Service. Payment is due at checkout. Stripe, Inc. is our payment processor and its terms apply to the payment leg of the transaction. Prices may be shown in other currencies at the applicable daily exchange rate.
4.2 Subscriptions
Monitoring services are offered on a subscription basis at the price stated on the Service. Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with the Refund Policy. You may cancel at any time from your account dashboard. Cancellation stops future renewals; it does not retroactively refund past billing periods except as set out in the Refund Policy.
4.3 Promotional and referral codes
Promotional and referral codes may reduce the price payable. Codes may be issued by GhostLabs or by partners in our referral program. Codes are non-transferable, may only be used as described at checkout, and may be revoked at any time for abuse (including but not limited to self-referral, code enumeration, and fraudulent redemption).
4.4 Taxes
Prices stated on the Service exclude any value-added tax, goods and services tax, sales tax, or other similar tax imposed by a jurisdiction in which you are located. You are responsible for any such taxes.
4.5 Refunds
Refunds are governed by the Refund Policy published at ghostlabs.asia/refunds, which is incorporated into these Terms by reference.
5. Acceptable use
You agree not to use the Service:
- In any jurisdiction where your use would be unlawful under local law, or in violation of any export control or sanctions law to which you are subject.
- To submit code that you do not have the legal right to submit.
- To reverse engineer, decompile, or otherwise attempt to derive the internal methodology of the Service beyond what is publicly disclosed.
- To interfere with the operation of the Service, including by submitting automated or scripted requests that exceed the rate limits published on our API documentation, by attempting to circumvent any technical control, or by probing, scanning, or testing the vulnerability of any GhostLabs system without our prior written consent.
- To submit content designed to manipulate, jailbreak, or prompt-inject our analysis models.
- To impersonate any person or entity, or to misrepresent your affiliation with a person or entity.
- To re-sell, re-distribute, or commercialize scan outputs without a separate written agreement with GhostLabs. Scan outputs are for your own use.
We reserve the right to suspend or terminate access to the Service for any customer whose use violates this section.
6. Intellectual property
6.1 Your content
You retain all rights in the smart contract source code, contract addresses, and other content you submit to the Service (“Customer Content”). You grant GhostLabs a worldwide, non-exclusive, royalty-free license to process Customer Content as necessary to provide the Service, to improve the Service in aggregated and anonymized form, and to retain a copy for the duration reasonably required for record-keeping and audit trail purposes.
6.2 Our content
GhostLabs retains all rights in the Service itself, including the analysis methodology, the ruleset, the AI prompts, the scoring algorithm, the user interface, the documentation, and any report template. Nothing in these Terms grants you any right in any of the foregoing except the limited right to use the scan outputs for your own internal purposes.
6.3 Scan outputs
Scan outputs delivered to you are licensed to you for your own use. You may share an individual scan output on social media and in direct communications for non-commercial promotion, provided that the GhostLabs branding is not removed or obscured. Commercial use or redistribution requires written permission.
6.4 Feedback
Any feedback, suggestions, or ideas you voluntarily provide to us regarding the Service may be used by GhostLabs without restriction or compensation to you.
7. Third-party services
The Service integrates with third-party services including, but not limited to, Stripe (payments), SendGrid (email delivery), Anthropic (AI analysis), and various block-explorer APIs (source code retrieval). Use of the Service is also governed by those parties’ terms and privacy policies in respect of their handling of your data. We are not responsible for third-party services except as set out in our Privacy Policy.
8. Disclaimers
8.1 Not investment advice
GhostLabs does not provide investment, financial, legal, or tax advice. Scan outputs describe properties of code at a specific moment in time. They do not constitute a recommendation to buy, sell, hold, or transact in any digital asset, token, contract, or other instrument. You are solely responsible for your own investment, trading, and legal decisions. You should consult qualified professionals before making financial decisions.
8.2 Best-effort analysis
The Service uses automated tools and AI-assisted review. These tools are not infallible. The Service cannot and does not guarantee that it has identified every vulnerability, defect, or risk in the code analyzed. A scan returning a high safety score is not a guarantee of safety. A scan returning a low safety score is not a guarantee of exploitation. You should not rely exclusively on GhostLabs output for any decision with material financial consequences.
8.3 Scope
Scan outputs reflect only the code submitted at the time of the scan. Subsequent modifications to the code (including but not limited to proxy upgrades, owner actions, and governance changes) are not covered. Scan outputs do not analyze operational risks, key management, off-chain dependencies, oracle reliability, front-end website security, or factors outside the submitted code unless specifically stated. Monitoring services, where subscribed, provide ongoing notifications of certain on-chain events within a defined scope; they do not replace original analysis.
8.4 As-is
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” GHOSTLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Excluded damages. In no event shall GhostLabs, its officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, lost business opportunities, loss of digital assets, loss of access to digital assets, damages arising from third-party smart contract exploits, damages arising from decisions made in reliance on scan outputs, or damages arising from the failure of any third-party infrastructure, regardless of the theory of liability and even if GhostLabs has been advised of the possibility of such damages.
Aggregate cap. Our aggregate liability to you for any claim arising out of or relating to the Service shall not exceed the greater of (a) the total amount you have paid to GhostLabs in the twelve (12) months preceding the event giving rise to the claim, or (b) US$100.
Jurisdictional limits. Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless GhostLabs and its officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to (a) your violation of these Terms, (b) your violation of any applicable law, (c) your use of the Service, (d) any misrepresentation by you, (e) any claim brought against GhostLabs by any third party in connection with any smart contract you deploy, operate, or transact with, or (f) any Customer Content you submit.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is harmful to other users, to GhostLabs, or to any third party. We may also terminate access to the Service, or any part of it, at our discretion on reasonable notice. Sections 5, 6, 8, 9, 10, 12, 13, 14 and 15 survive termination.
12. Governing law
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13. Dispute resolution
Informal resolution. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at admin@ghostlabs.asia. We will attempt to resolve any dispute by negotiation within sixty (60) days.
Arbitration. Any dispute not resolved informally shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be Singapore, the tribunal shall consist of one arbitrator, and the language of the arbitration shall be English.
Class action waiver. To the extent permitted by applicable law, you and GhostLabs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. This class action waiver shall not apply where prohibited by the mandatory laws of your jurisdiction.
14. Modifications
We may modify these Terms at any time. Material changes will be notified to you by email or via a prominent notice on the Service at least thirty (30) days before they take effect. Your continued use of the Service after a change to the Terms constitutes acceptance of the change.
15. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy, the Refund Policy, and any other policies linked from the Service, constitute the entire agreement between you and GhostLabs regarding the subject matter.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of substantially all assets, or by operation of law.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No waiver. No failure or delay by either party in exercising any right shall operate as a waiver.
Force majeure. Neither party shall be liable for any failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government actions, labor disputes, power failures, internet outages, or third-party service disruptions.
